BRUCE W. HAFFEY
Mr. Haffey has handled complex business transactions for small and middle market business clients for over 25 years. He practices primarily in the areas of business planning, commercial transactions, mergers and acquisitions, franchise law and taxation.
Experience:
Mr. Haffey has represented clients in a multitude of complex merger and acquisition transactions for small and mid-sized businesses, including many in the automotive supply industry and many involving health care entities.
Representation covers all aspects of a transaction, including strategic analysis, tax analysis, due diligence, preliminary agreements, transaction planning, negotiation and documentation, financing, closing and post-closing.
Mr. Haffey is an expert in business entity selection and design, including the analysis of tax and non-tax issues, the formation of corporations, limited liability companies and other business entities, business reorganizations, liquidations and dissolutions and buy-sell arrangements among owners.
Mr. Haffey handles many commercial transactions for his business clients on an ongoing basis, such as purchase orders, general terms and conditions and similar commercial contracts with customers and suppliers; executive compensation plans, including phantom stock plans, stock appreciation right plans and stock option plans; and computer and information system development agreements, hardware and software sales and licensing agreements, maintenance contracts and other technology-related agreements.
Mr. Haffey has assisted many business owners with succession planning issues, including transfers to family members or key management personnel.
Throughout his career, Mr. Haffey has represented franchise companies, assisting them in the preparation of franchise agreements, offering circulars and other legal documents, in structuring their franchise systems, in complying with state and federal franchise laws, and in resolving issues that arise with their franchisees.
Mr. Haffey is active in federal, state and county bar association activities, and is a past-Chairman of the Oakland County Bar Association Taxation Committee. He has written a number of articles on business and tax subjects, and is a frequent speaker.

- Mr. Haffey represented the sellers in the sale of a specialty foam products business to an international publicly traded company
- Mr. Haffey represented the sellers in the sale of an automotive consulting business to an international publicly traded company
- Mr. Haffey has represented buyers and sellers in over a dozen acquisitions of automobile dealerships
- Mr. Haffey represented sellers of multi-state stainless steel processing business to international conglomerate
- Mr. Haffey represented seller of chain of physical therapy clinics to national, publicly traded health care company
- Mr. Haffey handled business entity structuring issues for the development of an owner-occupied, multi-specialty medical office building
